Job title:Company Secretary
JOB DESCRIPTION
•Main Purpose of Job •To ensure the Company is legal and compliant at all times •To operate strategically whilst maintaining the detail around projects •To facilitate Board Meetings ensuring agendas, minutes and actions •Duties and Responsibilities
BOARD MEETINGS
•Agree meeting agendas and oversee preparation of meeting packs •Attendance and minute taking at Operational Board meetings •Issue Board meeting minutes •Maintain log and track completion of Board meeting actions •Arrange and minute statutory Board meetings as required •Attendance and minute-taking for other key meetings as required
DOCUMENTS MANAGEMENT
•Arrange signature of contracts and agreements •Maintain log of deeds and other key documents •Maintain minute books and other statutory documents
COMPLIANCE
•Advise operations to ensure our client remains legally compliant •Periodic review of our client’s documentation (Terms & Conditions of sale, purchase orders, customer contracts, etc) to ensure the Company remains compliant •Manage our client’s registrations and licenses (DPA, CCL, VOSA, DVLA, etc) •Annual disclosures and returns to Companies House for all group companies
INTELLECTUAL PROPERTY
•Establish and maintain arrangements for protecting our client’s intellectual property (e.g. trademarks, domain names, etc)
LEGAL
•Review of contracts and other legal documents •Advise operations on legal and operational implications of contracts •Liaison with external solicitors •Prepare monthly legal report to the Board
MISCELLANEOUS
•Attend training courses as required •Carry out other duties as required from time to time
Health and Safety
•To ensure the safe working environment for all employees by complying with the statutory legislation and Government Health and Safety Policy •To report immediately any non conformance to the appropriate senior position •The job holder carries out his/her allocated work independently and under his/her own responsibility. He/she also does work which is not mentioned in the job description because of its incidental nature but is nevertheless part of the job. •He/she has the right to obtain information from his/her superior about the work allocated to him/her. •He/she provides his/her superior of his/her own accord with important information about his/her working field and gives and/or obtains the necessary information from colleagues to ensure a proper running of the business. A driving license is required
